These Terms of Service ("Terms") govern your access to and use of the Nveal website (nveal.com) and the Nveal session recording and analytics Software-as-a-Service platform (collectively, the "Service"), provided by Nveal LLC ("Nveal", "we", "us", or "our").

By registering for an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. The Service

Nveal provides a session recording and analytics tool that allows you (the "Customer") to capture, replay, and analyze how visitors ("End-Users") interact with your website. You implement our Service by installing the Nveal SDK on your web properties.

2. Customer Responsibilities and Compliance with Laws

Privacy Policy Requirement

Because you use our SDK to record interactions on your website, you are solely responsible for ensuring that your data collection practices comply with all applicable local, state, national, and international privacy laws (including but not limited to the GDPR, CCPA, and similar regulations).

You agree that you will maintain a legally compliant Privacy Policy on your website that clearly and conspicuously discloses:

That you use third-party session replay technology to monitor and record user interactions.
The types of data collected (e.g., clicks, scrolls, mouse movements, network requests).
How that data is used and stored.

Consent

Where applicable by law, you are responsible for obtaining the affirmative consent of your End-Users prior to initializing the Nveal SDK on their browser.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, complete, and updated information during registration. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Nveal is not liable for any loss or damage arising from your failure to protect your login information.

4. Subscriptions and Payments

Billing

Nveal offers paid subscription plans. All payments are processed securely by our third-party payment provider, DodoPayments. By subscribing to a paid plan, you authorize DodoPayments to charge your selected payment method on a recurring basis (e.g., monthly) according to the terms of your chosen plan.

Cancellations and Refunds

You may cancel your subscription at any time through your account dashboard. Upon cancellation, you will retain access to the Service until the end of your current billing cycle. Nveal does not provide refunds or credits for partial billing periods unless legally required.

5. Intellectual Property

Your Data: You retain all rights and ownership to the Customer Data and End-User Data you collect using the Service. You grant Nveal a limited, non-exclusive license to process this data solely for the purpose of providing the Service to you.

Nveal's IP: The Service, including the Nveal SDK, dashboard, design, text, and graphics, are the intellectual property of Nveal LLC and are protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

6. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, if we determine that you have violated these Terms (for example, by using the Service to capture prohibited sensitive data). Upon termination, your right to use the Service immediately ceases, and your account data will be scheduled for deletion in accordance with our Privacy Policy.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. NVEAL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NVEAL LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF NVEAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Nveal LLC from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any claims brought by your End-Users regarding the unauthorized collection of their data.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in North Carolina, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service dashboard. Your continued use of the Service after such modifications constitutes your acceptance of the new Terms.
